1. Agreement to Terms

By accessing or using the Prayer Network website (the "Service"), you agree to be bound by these Terms of Service ("Terms"), all applicable laws and regulations, and agree that you are responsible for compliance with any applicable local laws. If you disagree with any part of the terms, you do not have permission to access the Service. These Terms apply to all visitors, users, and others who access or use the Service.

2. Description of Service

Prayer Network is a spiritual community platform that enables users to share and respond to prayer requests. We offer both free and premium membership options as described on our website. The features and availability of each membership level are subject to change at our discretion.

Free Membership: Includes basic features with limited prayer submissions and access to standard community features.
Premium Membership: Provides enhanced features as detailed on our premium membership page, for a monthly subscription fee of $4.99. These features may include, but are not limited to, prioritized prayer requests, unlimited submissions, and premium support.

3. Account Registration and Security

3.1 Account Creation

You must provide accurate, current, and complete information during registration and keep your account information updated. Providing false or misleading information constitutes a breach of these Terms, which may result in immediate termination of your account.
You must be at least 18 years old to create an account. By creating an account, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms.
You are responsible for maintaining the confidentiality of your account credentials, including your password. You agree not to disclose your password to any third party.

3.2 Account Security

You are solely responsible for all activities that occur under your account, whether or not you have authorized such activities.
You must immediately notify us of any unauthorized access to or use of your account or any other breach of security.
We reserve the right to suspend or terminate accounts that violate these Terms, engage in illegal activities, or are deemed harmful to the Service or other users, at our sole discretion and without prior notice.
Prayer Network will not be liable for any loss or damage arising from your failure to protect your account information.

4. Payment Terms and Refund Policy

4.1 Subscription Payments

Premium membership is billed in advance on a monthly recurring basis, commencing on the date of purchase.
Payments are processed securely through our third-party payment processor, Stripe. By subscribing, you agree to Stripe's terms and conditions and privacy policy. We do not store your full credit card details.
By subscribing, you authorize us to charge your payment method monthly for the premium membership fee, plus any applicable taxes, until you cancel your subscription.
All fees are exclusive of all taxes, levies, or duties imposed by taxing authorities, and you shall be responsible for payment of all such taxes, levies, or duties.
Subscription fees are subject to change with thirty (30) days prior notice. Notice may be provided by email or by posting updates on the Service.

4.2 Cancellation and Refunds

You may cancel your premium membership subscription at any time through your account settings or by contacting our support team. Instructions for cancellation are as follows: Log-in to your account profile and on your dashboard you will see an "Edit Profile" button, once in your profile page you will see a Premium Membership card section which allows you to click "Cancel Premium Membership", it will confirm with you your decision and display a success message.
Cancellation requests must be submitted prior to your next billing date to avoid being charged for the subsequent month. Cancellation will take effect at the end of your current billing period.
We operate a strict no-refund policy for partial months of service or upon cancellation. All sales are final, and fees paid are non-refundable.
All payments are final and non-refundable except where explicitly stated in these Terms or as required by applicable mandatory consumer protection laws. To the maximum extent permitted by law, refunds are at our discretion and only under exceptional circumstances.
Initiating a chargeback or dispute with your payment provider without first contacting our support team and making a good faith effort to resolve the issue will be considered a breach of these Terms and may result in immediate account termination and prohibition from future use of the Service.

4.3 Billing Disputes

If you believe there has been an error in billing, you agree to contact our support team at support@prayernetwork.net within thirty (30) days of the charge in question to resolve any billing disputes. Failure to notify us within this timeframe waives your right to dispute such charges.
Disputes must be raised in good faith and include all relevant information regarding your claim. We will investigate all legitimate disputes and respond within a reasonable timeframe.
We reserve the right to suspend or terminate accounts associated with any billing dispute we deem to be fraudulent, frivolous, or made in bad faith.

5. User Content and Conduct

5.1 Content Guidelines

You are responsible for the content you post on the Prayer Network. Users agree not to post, transmit, or share content that:

Is unlawful, illegal, or promotes illegal activities.
Is fraudulent, deceptive, inaccurate, or misleading.
Is harmful, abusive, harassing, threatening, defamatory, libelous, or invasive of another's privacy.
Contains hate speech or promotes discrimination, violence, or incites hatred against individuals or groups based on race, ethnicity, religion, gender, sexual orientation, disability, or other protected characteristics.
Is deliberately false, misleading, or intended to impersonate any other person or entity.
Infringes upon or violates any intellectual property rights, including copyrights, trademarks, patents, trade secrets, or other proprietary rights of any party.
Contains personal attacks, insults, or harassment directed at other users or individuals.
Exploits, abuses, or endangers children.
Promotes commercial products or services, engages in advertising or solicitation, or is considered spam or unsolicited bulk messages, except in designated areas, if any.
Contains viruses, malware, worms, Trojan horses, or any other malicious code designed to interrupt, destroy, or limit the functionality of any computer software or hardware or telecommunications equipment.
Contains inappropriate, offensive, pornographic, sexually suggestive, or explicit material.
Violates any applicable law or regulation.
Disrupts the normal flow of communication within the Service or otherwise negatively affects other users' ability to use the Service.

5.2 Content License

You retain ownership of the intellectual property rights for content you post on the Service.
By posting content, you grant Prayer Network a worldwide, perpetual, irrevocable, royalty-free, non-exclusive, transferable, sub-licensable license to use, reproduce, distribute, modify, adapt, publicly display, and perform your content in connection with the Service and our business, including promoting and redistributing part or all of the Service (and derivative works thereof) in any media formats and through any media channels.
This license allows us to operate and improve the Service, and promote user content within the platform and in related marketing efforts.
You represent and warrant that you have all the rights necessary to grant us this license for all content you submit.
We have the right, but not the obligation, to monitor, review, edit, refuse to post, or remove any content that violates these Terms or is otherwise objectionable, in our sole discretion and without prior notice.

6. Premium Features

6.1 Service Availability

We strive to maintain a high level of service availability and aim for 99.9% uptime. However, due to the nature of internet services, we do not guarantee uninterrupted, error-free access to the Service, especially concerning premium features.
Premium features are provided subject to reasonable usage. We reserve the right to impose limitations on usage if we determine, in our sole discretion, that your usage is excessive or abusive and negatively impacts the service for other users.
We reserve the right to modify, suspend, or discontinue premium features, temporarily or permanently, with reasonable notice where possible. In cases of significant changes or discontinuation of premium features, we will endeavor to provide affected premium members with options that may include service adjustments or pro-rata refunds at our discretion.

6.2 Feature Limitations

While premium membership may include 'unlimited prayer submissions', this is subject to fair usage and anti-spam measures designed to protect the integrity of the Service and prevent abuse. We reserve the right to limit submission frequency if necessary to maintain system performance and prevent spam.
Highlighted prayers are subject to the same content guidelines as all other user content and must comply with these Terms. We reserve the right to refuse to highlight or to remove highlighting from any prayer request that violates these Terms.
Premium support is offered on a reasonable effort basis and is typically provided via email. While we aim to respond promptly to premium support inquiries, we do not guarantee immediate response times or resolution within a specific timeframe.

7. Intellectual Property Rights

7.1 Service Content

The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of Prayer Network and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Prayer Network.

7.2 Limited License

Subject to your compliance with these Terms, Prayer Network grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use. You may not:

Modify, copy, reproduce, distribute, republish, download, display, post, or transmit any part of the Service in any form or by any means.
Use the Service for any commercial purpose or for the benefit of any third party or in any manner not permitted by these Terms.
Attempt to decompile, reverse engineer, or otherwise attempt to discover the source code of any software component of the Service.
Remove any copyright, trademark, or other proprietary notices from any portion of the Service.

8. Limitation of Liability

8.1 Service Disclaimers

The Service is provided on an "AS IS" and "AS AVAILABLE" basis, without any warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.
Prayer Network does not warrant that the Service will be uninterrupted, secure, or available at any particular time or location; that any defects or errors will be corrected; or that the Service is free of viruses or other harmful components. We do not guarantee any specific outcomes from prayers requested or offered through the Service.
You acknowledge that the Service may be subject to limitations, delays, and other problems inherent in the use of the internet and electronic communications. Technical issues, maintenance, updates, or events beyond our control may occasionally impact service availability.

8.2 Liability Limits

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PRAYER NETWORK, NOR ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR:

ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, including without limitation, damages for loss of profits, goodwill, use, data, or other intangible losses, arising out of or relating to your access to or use of, or inability to access or use, the Service.
OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, WHETHER IN CONTRACT, TORT, OR OTHERWISE, SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO PRAYER NETWORK FOR PREMIUM MEMBERSHIP IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED U.S. DOLLARS (USD $100.00) IF YOU HAVE NOT HAD A PREMIUM MEMBERSHIP, WHICHEVER IS GREATER.
We are not responsible or liable for any user-generated content, conduct of any user of our Service, or for third-party content, products, or services available through the Service. Your use of the Service and reliance on any information on the Service is solely at your own risk.
The limitations of liability set forth in this section will apply even if Prayer Network has been advised of the possibility of such damages and regardless of the failure of essential purpose of any limited remedy.

9. Indemnification

You agree to indemnify, defend, and hold harmless Prayer Network, its affiliates, officers, directors, employees, consultants, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, fees (including reasonable attorneys' fees and court costs) arising from or relating to:

Your use of and access to the Service, including any data or content transmitted or received by you.
Your violation of any term of these Terms, including without limitation your breach of any of the representations and warranties above.
Your violation of any third-party right, including without limitation any right of privacy, publicity rights, or intellectual property rights.
Your violation of any applicable law, rule, or regulation.
Any claim or damages that arise as a result of any of your User Content or any content that is submitted via your account.

Prayer Network reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with Prayer Network in asserting any available defenses.

10. Dispute Resolution

10.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of West Virginia, without regard to its conflict of law principles. You agree that any action at law or in equity arising out of or relating to these Terms or the Service shall be filed only in the state or federal courts located in West Virginia and you hereby consent and submit to the personal jurisdiction of such courts for the purposes of litigating any such action.

10.2 Arbitration Agreement

**Binding Arbitration.** Except for disputes that qualify for small claims court, all disputes arising out of or related to these Terms or any aspect of the relationship between you and Prayer Network, whether based in contract, tort, statute, fraud, misrepresentation, or any other legal theory, will be resolved through binding arbitration.

Arbitration will be administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules and Mediation Procedures.
The arbitration shall take place in West Virginia, unless otherwise mutually agreed upon in writing.
You waive your right to a jury trial and to participate in a class action lawsuit or class-wide arbitration. All claims shall be arbitrated on an individual basis.
Small claims court cases are excluded from this arbitration agreement. You may bring an individual action in small claims court of competent jurisdiction.
The arbitrator is empowered to grant whatever relief would be available in a court under law or in equity. The arbitrator’s decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

**Arbitration Costs.** Payment of all filing, administration, and arbitrator fees will be governed by the AAA's rules. However, if you are deemed unable to pay the arbitration fees, Prayer Network will consider paying them if you first provide a written request to support@prayernetwork.net.

**Opt-Out.** You have the right to opt out of this arbitration agreement. If you do not wish to be bound by this arbitration agreement, you must notify Prayer Network in writing within 30 days of first accepting these Terms. Your written notification must be sent to: support@prayernetwork.net, and must include your name, address, and a clear statement that you do not wish to resolve disputes with Prayer Network through arbitration. If you opt out of arbitration, all other parts of these Terms will continue to apply to you.

11. Termination

11.1 Account Termination

We reserve the right to terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

Specifically, but not limited to, we reserve the right to:

Suspend or terminate accounts for any violation of these Terms, including content guidelines and payment obligations.
Remove or disable access to content that violates these Terms or that we believe, in our sole discretion, is objectionable or harmful.
Deny service to anyone for any lawful reason at any time.
Terminate accounts that are inactive for an extended period, as determined by Prayer Network in its sole discretion.

11.2 Effect of Termination

Upon termination, your right to use the Service will cease immediately, and you will lose all access to premium features and any content associated with your account.
Any fees previously paid by you are non-refundable upon termination, regardless of the reason for termination or the remaining period of your subscription.
Sections of these Terms that by their nature should survive termination, including but not limited to Sections 5 (Content License), 7 (Intellectual Property Rights), 8 (Limitation of Liability), 9 (Indemnification), 10 (Dispute Resolution), and 13 (Entire Agreement), shall survive termination.

12. Changes to Terms

Prayer Network reserves the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least thirty (30) days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
Changes will be effective immediately upon posting the updated Terms of Service on the Service, unless otherwise stated.
By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, in whole or in part, please stop using the website and the Service.
For material changes that directly affect your rights or obligations under these Terms, we will make reasonable efforts to announce such changes via email to the email address associated with your account or through a prominent notice on the Service. However, it is your responsibility to review these Terms periodically for changes.

15. Severability

If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, such provision shall be struck and the remaining provisions of these Terms shall remain in full force and effect. The unenforceable provision will be deemed replaced by a valid and enforceable provision that most closely matches the intent of the original provision.

16. No Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and Prayer Network's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

17. Force Majeure

Prayer Network shall not be liable for any failure to perform its obligations under these Terms where such failure results from any cause beyond Prayer Network's reasonable control, including, without limitation, acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemic, strikes or shortages of transportation facilities, fuel, energy, labor or materials, or failure of telecommunications or network infrastructure.

18. Assignment

You may not assign or transfer these Terms, in whole or in part, without prior written consent from Prayer Network. Prayer Network may assign or transfer these Terms, in whole or in part, without restriction. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties, their successors, and permitted assigns.
